Regulation S is a registration exemption which allows securities to be sold outside of the United States as long as securities in such offering are solely offered outside of the United States.
Selling Restrictions: Securities acquired under Reg S are considered ‘restricted securities’ and are restricted from being resold in the United States during a "compliance period" which may be up to one year from their issuance. Read more here.
